Individual Microboard Development

Technical Assistance Agreement

This agreement is between the Tennessee Microboards Association, Inc. and the organizers of an individual microboard for the following person(s):

For the purposes of this agreement, a Microboard is defined as a small group (micro) of committed unpaid friends and family members who join together with a person with vulnerabilities to create a non-profit organization dedicated to addressing the person's planning and support needs in an empowering and customized fashion. Individual members of the microboard are expected to become a driving force for quality, self-determination, and community inclusion. A Tennessee Microboard comes out of the person centered planning philosophy and is therefore created for the sole support of one individual, a married couple, or two siblings who freely choose to live with one another.

I. The Tennessee Microboards Association, Inc. will:

Conduct all technical assistance in a professional and respectful manner with primary consideration given to the directives and decisions of the individual(s) named above.

Conduct all technical assistance with the degree of confidentiality desired by the individual(s) named above and the individual microboard organizers.

The Tennessee Microboards Association, Inc. agrees to provide the following technical assistance and support to the organizers of an individual microboard for the above named individual(s):

  1. Assistance in planning and organizing the individual’s PATH planning session(s)
  2. Assistance in developing and submitting articles of incorporation and by-laws
  3. Training for members of the founding board of directors, training for new directors, and continuing training /education opportunities for the full board
  4. Training and materials needed for the development of an application to become a provider of services and supports under Tennessee’s home and community based Medicaid Waiver and any other government funding sources for which the individual microboard may wish to become eligible to apply
  5. Advocacy and liaison support needed to promote the approval of the individual microboard application as submitted
  6. Technical assistance for board development, program development for the individual to be served by the microboard, and operational aspects of the non-profit organization up to the date of actual direct supports and service provision.
  7. Follow-up technical assistance for board development, program development for the individual served by the microboard, and operational aspects of the non-profit organization, provided that the microboard has applied for, and maintains, active membership in the Tennessee Microboards Association, Inc.

II. The organizers of the individual microboard for the above named individual will:

Participate in all technical assistance efforts in a professional and respectful manner with primary consideration given to the directives and decisions of the individual(s) named above.

The organizers of the individual microboard for the above named individual agree to:

  1. Adhere to the principles, philosophy, and values statement governing individual microboard development and operation as adopted by the Tennessee Microboards Association, Inc. board of directors.
  2. Maintain an Internet e-mail address and fax number for the receipt of any and all information from the Tennessee Microboards Association needed to carry out the development of the individual microboard.
  3. Coordinate the arrangements needed for PATH session(s) including the location, time, invitation of individuals to be present at the PATH (always including the person(s) served), and refreshments.
  4. Coordinate the arrangements needed for the training session(s) of the board of directors including the location, time, and individuals to be present.
  5. Maintain an active board of directors comprised of no less than three (3) individuals, including the individual(s) named above.
  6. Expand board representation to include expertise needed for the successful development and operation of the individual microboard as recommended by the Tennessee Microboard Association, Inc.
  7. Communicate directly with the Tennessee Microboard Association, Inc. regarding any questions or issues that relate to the above named individual’s status for receiving government supported services, interactions with government officials regarding the approval and funding of services and supports to be provided by the individual microboard, and other issues which may impact the successful development and operation of the individual microboard.
  8. Upon incorporation the individual microboard will join the Tennessee Microboards Association, Inc. Membership fees of one percent (1%) of the microboard’s total budget will become payable on a quarterly basis upon receipt of funding for services and supports, following nine months of support and services provision. Membership fees for microboards that do not pursue the provision of services and supports will be payable as determined by the TMA board of directors not to exceed $100 for 2002-2003.
  9. Develop and operate the microboard in a manner that will not discriminate against anyone associated with or employed by the microboard regard to religion, race, creed, national origin, or disability.
  10. For the duration of the technical assistance agreement conduct any and all board meetings in keeping with the Non-Profit Corporation Act of the State of Tennessee (TCA 48-51-101 through TCA 48-68-105) and the individual microboard’s approved governing by-laws.

IV. Termination of the Technical Assistance Agreement

Organizer Initiated Termination:

The organizers of the individual microboard may cancel this technical assistance agreement at anytime and pursue the development of another type of provider agency (including an agency intended to serve one person), which will not be considered or referred to as a microboard by the organizers or by the Tennessee Microboards Association, Inc., directly with the appropriate state of Tennessee government agency.

The organizers of the individual microboard may request (orally or in writing) the reinstatement of technical assistance subject to the review and approval by the Executive Director. Any decision of the Executive Director against reinstatement may be appealed in writing to the Tennessee Microboards Association for consideration at their next regularly scheduled board of directors meeting.

The organizers may request that the Tennessee Microboards Association place this technical agreement on hold status at anytime for any duration of time for any reason. Reinstatement to active status may be instituted by oral or written request to the Executive Director.

The Tennessee Microboard Association:

The Tennessee Microboards Association may place this technical agreement on hold status at anytime the organizers fail to comply with items II. A-H above and give notice to the organizers that they have 30 days to correct their problem with compliance with this agreement.

After 30 days the Tennessee Microboard Association may cancel this technical agreement based on the organizers failure to comply with items 2 A-H above. This termination may be appealed in writing to the Tennessee Microboards Association, Inc. board of directors for review at their next regularly scheduled board of directors meeting.
